Understanding Auki Labs' Legal Structure and Its Role in Building The Posemesh

Auki Labs is spearheading the development of the posemesh, a decentralized machine perception network, with the goal of creating an open-source infrastructure. This project is supported by two key legal entities: Auki Labs Ltd and Auki Matterless Ltd, which have distinct yet interconnected roles.

Auki Labs: The Protocol Builder

Auki Labs Ltd is responsible for the posemesh protocol. Its primary focus is on developing the network, rather than generating profit. The value created by Auki Labs is meant to accrue through the growth and utility of the posemesh itself, and as such, Auki Labs does not engage in fiat business activities.

By committing to building the posemesh as an open-source project, Auki Labs ensures that the protocol remains accessible and sustainable, even beyond its own lifespan. Auki Matterless: The Application Builder

Auki Labs holds a majority stake in Auki Matterless Ltd, which develops applications that run on top of the posemesh. This subsidiary focuses on creating for-profit applications that drive demand for the posemesh network. For example, Matterless works on applications like Cactus, which rely entirely on the posemesh for functionality.

While Matterless has raised some funding independently, Auki Labs has also subsidized development, as the success of the posemesh protocol requires a strong demand side. It is through Matterless' applications that the utility of the posemesh is realized in the market.

The Symbiotic Relationship

The close relationship between Auki Labs and Auki Matterless is essential. While Auki Labs builds the foundational infrastructure, Auki Matterless creates the commercial applications that generate demand, benefiting the entire ecosystem. Although there is no legal obligation for Matterless to build on the posemesh, it is a strategic and necessary choice due to the intertwined nature of the two entities.

In the unlikely event that Auki Labs ceases to operate, the open-source nature of the posemesh would allow Matterless and others to continue development. Additionally, Matterless could legally switch to an alternative protocol if a better one were created; though, this would not align with the financial interests of Auki Labs, which benefits from the success of the posemesh token.
